A Growth Model Built in the Infectious Disease FieldーShionogi & Co.'s Strategic Transformation and Value Creation

Company History

Shionogi & Co. is a research-driven pharmaceutical company with over 140 years of history, founded in 1878 in Doshomachi, Osaka. The founder, Gisaburo Shionogi, was born in 1854 as the son of a wholesale drug merchant, and established "Shionogi Gisaburo Shoten" at the age of 24. The company was renamed Shionogi Shoten in 1919 and Shionogi & Co. in 1943, the name it carries today.

From the late 1950s, Shionogi established a strong position in antibacterial and antibiotic drugs, carving out a distinctive niche with infectious diseases at the core of its business. Performance deteriorated in the 1990s amid declining demand for antibiotics, but the company re-accelerated its path to growth in the 2000s and 2010s by partnering with overseas companies to bring a cholesterol treatment (2003) and an HIV therapy (2013) to global markets. In the fiscal year ended March 2025, royalty income from overseas sales — primarily HIV-related — accounted for more than half of total revenues, at ¥244.7 billion out of ¥438.3 billion. This highly efficient business model has produced an operating profit margin of 36%.

CEO Isao Teshirogi’s Track Record

For most of the period from its founding through 2008, Shionogi was led by members of the founding Shionogi family. In 2008, however, Isao Teshirogi — the current president and the first non-family leader — assumed the role. Having worked in R&D and overseas postings before serving as head of corporate planning under his predecessor Motomichi Shionogi, Teshirogi contributed to the structural reforms that established the company's current focus on small-molecule drugs and infectious diseases. His capabilities were recognized, and he was appointed president at the unusually young age of 48 for a major Japanese corporation.

With the U.S. patent on its flagship cholesterol drug Crestor (rosuvastatin) set to expire in 2016, Teshirogi negotiated with AstraZeneca — which handled overseas sales — to renegotiate the contract in 2014: accepting a lower royalty rate in exchange for an extended payment period. This smoothed the revenue decline from the patent cliff, while a parallel strategy of growing new drugs filled the gap. The HIV drug Tivicay (dolutegravir), approved in the United States in 2013, was the key product that gained growth momentum during this period. Developed in collaboration with GlaxoSmithKline (GSK) and commercialized by GSK's subsidiary ViiV Healthcare, Shionogi receives royalties from ViiV for its global reach. Teshirogi's ability to navigate patent cliffs adroitly through partnerships with AstraZeneca and GSK while sustaining a growth trajectory is genuinely worthy of recognition.

Transition to an Active Investment Phase

Entering 2025, Shionogi has moved into an offensive strategic phase, deploying the cash accumulated through its HIV royalty model. In May 2025, the company acquired Japan Tobacco Inc.'s (JT, 2914) pharmaceutical business along with its subsidiary Torii Pharmaceutical (4551) in a single transaction, aimed at expanding its R&D workforce and strengthening its domestic earnings base. In December 2025, it acquired the ALS treatment edaravone business from Tanabe Pharma (formerly Mitsubishi Tanabe Pharma) — an acquisition intended not only to add a new drug but also to gain expertise in rare disease operations. Then in January 2026, the company announced an increase in its stake in ViiV Healthcare from approximately 10% to 21.7%. Combined, these three transactions amount to roughly ¥900 billion — a transformative commitment for a company that, as of the fiscal year ended March 2025, had total assets of ¥1.5 trillion and net cash of ¥620 billion.

In line with its stated strategy of making rare diseases the second pillar alongside its infectious disease franchise, the company reports having actively explored acquisitions for about three years before these deals converged in quick succession. Integration of the JT and Torii businesses appears to be proceeding smoothly, and the lessons learned are expected to inform the edaravone integration process, which begins in earnest from April onwards.

The Social Value Shionogi Creates

Shionogi is an unusual type of pharmaceutical company — one that has grown by focusing on small-molecule infectious disease drugs, a space that most global pharma majors have retreated from. Small-molecule drugs tend to command lower prices, and demand for infectious disease therapies fluctuates significantly with outbreak patterns, making it a particularly challenging area in which to sustain high, stable profitability. Yet given that pandemics and antimicrobial resistance have not been eliminated, there remains clear social significance in continuing to develop drugs in this space. Shionogi's portfolio — including the influenza treatment Xofluza (baloxavir), the COVID-19 treatment Xocova (ensitrelvir), and the novel antibiotic Fetroja (cefiderocol) — demonstrates a genuine contribution to societal stability through drugs that address high-priority infectious disease needs.

The company's global access strategy for its core HIV franchise also merits attention. In low-income countries with high HIV burdens — particularly across Africa — Shionogi supports patient access through flexible patent arrangements and supply at near-cost pricing, while generating the vast majority of revenues from advanced markets, primarily the United States. This structure, in which profits from high-income markets effectively subsidize access in lower-income regions, represents a compelling model for reconciling commercial sustainability with social purpose. While much of this work is operationally carried out by ViiV Healthcare as the commercialization partner, Shionogi deserves recognition for its meaningful role as the innovator underpinning those efforts.

Cadira’s Engagement

Cadira has been actively deepening its dialogue with Shionogi since last year. Investor meetings with pharmaceutical companies can easily gravitate toward pipeline discussions alone, but Cadira deliberately broadens the conversation to encompass corporate strategy and sustainability. In our most recent meeting, we highlighted how Shionogi has pivoted from a cash-rich balance sheet posture to a leveraged, large-scale investment stance — a shift we characterized as a clear and meaningful change of corporate phase. We also conveyed our strong resonance with the company's commitment to social purpose as expressed through its infectious disease focus and its pharmaceutical access initiatives.

In response, Shionogi shared that our engagement had prompted fresh reflection — offering an outside perspective on the validity of their growth strategy and the adequacy of their disclosure practices. We take this as an indication that our dialogue has served as a genuine catalyst for the company to reassess its approach to management and communication through an external lens.

We intend to continue this constructive engagement, with the aim of contributing to Shionogi's sustainable long-term value creation.
