Supporting Social Stability Through Technological Advancement — Our Dialogue with Macnica Holdings

This month, we introduce Macnica Holdings, Inc. (3132), covering its corporate profile and our engagement activities.

Corporate Overview

Macnica Holdings traces its origins to 1972, when Harutaka Kamiyama founded Japan Macnics. Through his experience working at an electronic components trading company, Mr. Kamiyama became convinced of the future potential of semiconductors—particularly the remarkable pace of technological advancement in the United States. He also recognized that customers needed not only product distribution but also technical support, and therefore built Japan Macnics as a technology-focused trading firm that sold overseas semiconductors to Japanese companies.

The company changed its name to Macnica in 1992, and in 2015 merged with Fuji Electronics, a firm strong in domestic semiconductors, to establish Macnica Fuji Electronics Holdings. After another name change in 2022, the company became the present-day Macnica Holdings. Founder Mr. Kamiyama stepped back from frontline management, becoming Chairman in 2008 and Honorary Chairman in 2019. The current President is Kazumasa Hara, who assumed the role in 2019.

Operationally, Macnica has steadily expanded its semiconductor business and is now the largest player in Japan, with approximately a 20% share of the domestic semiconductor distribution market. The company handles 17 of the 21 major semiconductor manufacturers whose products are sold in Japan, giving it an unmatched product lineup.

In 1982, prompted by an introduction from a business partner, Macnica began handling network equipment. With the spread of the internet and the growing importance of cybersecurity in the 2000s, the company made a full-scale entry into the cybersecurity field. Today, cybersecurity has grown into a second core business alongside semiconductors.

In 2021, the company launched its CPS (Cyber-Physical System) Solutions business, integrating cyber and physical domains. Leveraging its accumulated expertise in semiconductors and networking, Macnica entered a business domain focused on addressing more concrete problems. A representative example is its small autonomous EV bus business, which in FY2024 achieved 50 proof-of-concept operations and 6 regular operations.

Cybersecurity Business

Of Macnica Holdings’ revenue (¥1.0341 trillion), semiconductors account for 85% and cybersecurity 15%, making semiconductors the core business (FY March 2025 results). However, looking at operating profit (¥39.6 billion), cybersecurity—where profit margins are comparatively higher—accounts for 33%.

Macnica’s cybersecurity business is primarily based on providing overseas solutions to Japanese companies. One of its distinctive features is proactively identifying promising solutions and promoting them domestically regardless of the size of the provider. For example, Macnica signed a contract with CrowdStrike—now one of its key partners—in 2013 when the company had just been founded. Owing in part to a relationship with the founders, Macnica committed to the partnership even before CrowdStrike had an established track record.

Whereas the semiconductor business is susceptible to external factors such as economic fluctuations and supply chain disruptions, demand in the cybersecurity market continues to grow steadily. Compared to FY March 2016—when the holding company structure was established—Macnica’s overall revenue has expanded 2.5x, while the cybersecurity business (then categorized as the network business) has grown a remarkable 5.7x.

In Japan’s information security product market, the top ten foreign vendors collectively account for approximately 50% of the market (*1). As cyberattacks increasingly transcend national borders, the solutions required must also be of global-standard quality. Under these circumstances, Macnica Holdings’ position as a provider of advanced overseas cybersecurity solutions makes it increasingly vital as cyber threats become a growing societal issue.

Macnica Holdings’ Engagement with Investors

Macnica Holdings has adopted a proactive approach to investor dialogue. A generational shift in management in 2019 heightened the company’s awareness of its share price, leading to an expansion of IR staff and strengthened engagement efforts. Since 2023, the company has issued an integrated report and hosted webinars to explain its contents following publication.

President Hara led the explanations in the 2023 and 2024 webinars, but the 2025 session featured external speakers—one of whom was Cadira CIO Yu Shimizu. In the webinar, Shimizu offered the following comments regarding his assessment and expectations of Macnica:

“Macnica’s excellence lies in its ability to disseminate cutting-edge technology. Today, semiconductors and communication networks are becoming increasingly important as social infrastructure, and requirements around safety and security are also rising. Looking ahead, the company must meet the highest standards not only in technological advancement but also in safety and security. As an industry leader, Macnica should accumulate not only technical expertise but also industrial knowledge, and take on the role of a coordinator who brings together other stakeholders. We hope to see the company thrive on an even higher stage.”

Shimizu was invited to speak after Macnica’s IR representatives attended Cadira’s Annual Meeting and highly valued Cadira’s “commitment to dialogue,” which ultimately led to the invitation.

Conclusion

The above summarizes the corporate profile of Macnica Holdings and Cadira’s engagement with the company. Cadira views Macnica as a firm that contributes to social stability by providing cutting-edge solutions in semiconductors and cybersecurity—both essential for maintaining resilient social infrastructure.

In particular, the importance of the cybersecurity field is rising rapidly, and corresponding growth in demand can be expected. Cadira intends to continue monitoring the company from both economic and societal perspectives.
